These Terms of Use (“Terms”) are an agreement between you and nuri health LTD (“nuri”, “we”, “us”) for your use of the nuri app and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

1. What nuri is

nuri helps you see patterns in your cycle, sleep, training, food and wellbeing using the data you log and the data you connect. It offers observations, estimates, educational information and optional habit protocols. We may add, change or remove features over time.

2. Not medical advice

nuri is a wellness and educational tool. It is not a medical device and does not diagnose, treat, cure or prevent any disease or condition. Cycle phase, ovulation and period timing are estimates and can be wrong. Do not use nuri as a method of contraception or to plan or prevent pregnancy. Nothing in the Service replaces advice from a doctor, coach, dietitian or other qualified professional. Talk to a professional before changing your training, diet, medication or treatment, and never ignore or delay professional advice because of something you saw in nuri. If you think you have a medical emergency, contact your local emergency services immediately.

3. Eligibility

You must be at least 16 years old, or the age of digital consent where you live if higher, to use the Service. If you are under the age of majority, you confirm that a parent or guardian has agreed to these Terms. If you use nuri through a sports organisation or team, your organisation may have its own terms, but these Terms still apply between you and us.

4. Your account

You are responsible for keeping your sign-in details secure and for activity under your account. Give us accurate information and keep it up to date. Tell us at info@nurihealth.ai if you think your account has been accessed without permission.

5. Your data and content

You own the data and content you add to nuri, including logs, photos and notes (“Your Content”). You give us a worldwide, non-exclusive, royalty-free licence to host, store, process, display and adapt Your Content as needed to provide, secure and improve the Service, as described in our Privacy Policy. This licence ends when you delete Your Content or your account, except for de-identified or aggregated data and copies we must keep by law. You confirm you have the right to share Your Content with us.

If you send us feedback or suggestions, we may use them without any obligation to you.

6. Connected apps and devices

The Service can connect to third-party services such as Apple Health, Health Connect and wearable providers. Your use of those services is governed by their own terms. We are not responsible for their availability or for the accuracy of data they provide, and data from wearables and sensors can be incomplete or inaccurate.

7. AI-generated content

Some parts of the Service are produced with artificial intelligence. AI output can be incomplete, inaccurate or not right for you. Use your own judgment and treat it like the rest of the Service, as information to reflect on, not advice.

8. Acceptable use

You agree not to:

• use the Service for anything unlawful, harmful or fraudulent.

• access another person’s account or data without permission.

• copy, modify, reverse engineer or resell the Service, except where the law allows.

• interfere with or disrupt the Service, its security or its servers, including by scraping, bots or overloading it.

• upload content that is illegal, infringing, or that you have no right to share.

9. Subscriptions and payments

Some features may require a paid subscription. Subscriptions bought through the App Store or Google Play are billed by Apple or Google to your store account, renew automatically at the end of each period unless cancelled at least 24 hours before renewal, and can be managed or cancelled in your store account settings. Prices and what is included are shown before you buy. Refunds are handled by Apple or Google under their policies. Any free trial converts to a paid subscription at the end of the trial unless cancelled. We may change prices with advance notice, and changes apply from your next renewal.

10. Our intellectual property

The Service, including its software, design, text, graphics and the nuri name and logo, belongs to us or our licensors. We give you a personal, non-exclusive, non-transferable, revocable licence to use the app on devices you own or control, for your own non-commercial use, under these Terms and the App Store or Google Play usage rules.

11. Ending your use

You can stop using nuri and delete your account at any time in the app (You, Profile, Delete your data). We may suspend or end your access if you seriously or repeatedly break these Terms, if required by law, or if we stop offering the Service, and where reasonable we will tell you first. Sections that by their nature should continue (including 2, 5, 10, 12, 13 and 15) survive termination.

12. Disclaimers

To the fullest extent allowed by law, the Service is provided “as is” and “as available”. We do not promise that it will be uninterrupted, error free, or that its estimates, insights or content will be accurate or suitable for your purposes. Some places do not allow these exclusions, so some may not apply to you.

13. Limitation of liability

To the fullest extent allowed by law, nuri and its team, partners and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of data, profits or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law, such as for death or personal injury caused by negligence, or fraud, or your statutory rights as a consumer.

You agree to indemnify us against claims arising from your misuse of the Service or breach of these Terms, to the extent allowed by law.

14. Apple App Store terms

If you downloaded nuri from the Apple App Store:

• These Terms are between you and nuri only, not Apple. Apple is not responsible for the Service or its content.

• Your licence is limited to use on Apple-branded devices you own or control, as allowed by the App Store Usage Rules.

• Apple has no obligation to provide maintenance or support for the Service.

• If the app fails to meet any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. Apple has no other warranty obligation to the extent allowed by law.

• Apple is not responsible for any product claims, consumer protection or regulatory claims, or intellectual property infringement claims relating to the app. We are responsible for those, as set out in these Terms.

• You confirm you are not located in a country subject to a US Government embargo or listed on a US Government prohibited or restricted parties list.

• You must comply with any third-party terms that apply when using the app.

• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

15. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict of law rules. Disputes will be resolved in the courts of England and Wales, unless the law where you live gives you the right to bring a claim in your local courts. Before starting a formal claim, please contact us so we can try to resolve it informally.

16. Changes to these Terms

We may update these Terms from time to time. We will post the new version with a new effective date and, for material changes, notify you in the app or by email before they take effect. If you keep using the Service after the changes take effect, you accept the updated Terms. If you do not agree, you can delete your account.

17. General

If any part of these Terms is found unenforceable, the rest stays in effect. Our not enforcing a right is not a waiver of it. You may not transfer these Terms without our consent, and we may transfer them as part of a merger, acquisition or sale of assets. These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
